1. Structure
The IMASQ Engagement is a multi-month engagement at quote-only pricing. Scope is defined per Engagement Order Form (signed separately, custom per facility). The Order Form sets duration, deliverables, payment schedule, and any facility-specific addenda.
2. Operator participation
You commit to good-faith participation: staff training attendance, operational data publishing as needed for the engagement, and the agreed process changes during the engagement window.
3. Platform deliverables
We deliver the IMASQ methodology, training, and tracking software. The IMASQ engagement is sold as methodology + tracked outcomes; specific underlying tools are not named in marketing.
4. Outcomes
Outcomes are illustrative, not guaranteed. Results vary by facility starting state, regulator, staff capacity, and other factors outside our control. Documented case-study outcomes are reference points, not promises.
5. Confidentiality (both ways)
Each party will treat the other’s non-public business information as confidential during and after the engagement.
6. Intellectual property
The IMASQ methodology, training materials, and tracking software remain the property of Healthcare.Engineer LLC. Facility-specific data, attestations, and operational records developed in the engagement remain the property of the operator.
7. Post-engagement support
30 days of post-engagement maintenance support is included. Extensions are available under a separate Order Form.
8. Limitation of Liability
Capped at the greater of the fees paid under the applicable Order Form or one hundred dollars ($100), subject to any higher cap mutually agreed in the Order Form. We are not liable for indirect, incidental, or consequential damages.
9. Governing Law
These Terms are governed by the laws of the State of Florida. Disputes shall be resolved in the state or federal courts located in Orange County, Florida.
